These Terms and Conditions govern your use of omnifoldaxa's website and engagement with our AI engineering services. By accessing our site or entering into a service agreement with us, you agree to be bound by these terms.
1Definitions
In these Terms and Conditions, the following terms carry the meanings set out below:
- "Agreement" means these Terms and Conditions together with any applicable project scope or statement of work.
- "Service" refers to any AI engineering engagement offered by omnifoldaxa, including Speech-to-Insight Pipeline, Computer Vision Prototyping, and AI-Powered Search Relevance Tuning.
- "User" or "Client" means any individual or organisation that accesses this website or engages omnifoldaxa for a service.
- "We", "Us", or "Our" refers to omnifoldaxa, operating from 21 Jalan Bukit Bintang, 55100 Kuala Lumpur, Malaysia.
- "Content" means any text, data, documentation, code, models, or materials produced under an engagement.
- "Deliverables" means the specific outputs agreed upon in a project scope document.
2Acceptance of Terms
By visiting this website or engaging omnifoldaxa for services, you confirm that you have read, understood, and agreed to these Terms and Conditions. If you are entering into an agreement on behalf of an organisation, you represent that you have the authority to bind that organisation.
You must be at least 18 years of age and have the legal capacity to enter a binding contract under Malaysian law. Engagements with persons below 18 require written parental or guardian consent.
3Service Description
omnifoldaxa provides applied AI engineering services to organisations in Malaysia and internationally. Our current service offerings include:
- Speech-to-Insight Pipeline — end-to-end audio processing and insight extraction systems.
- Computer Vision Prototyping — rapid proof-of-concept development for visual recognition use cases.
- AI-Powered Search Relevance Tuning — machine-learned ranking improvements for existing search infrastructure.
Service availability is subject to capacity and may vary. We reserve the right to modify or discontinue any service with reasonable notice. Geographic restrictions may apply depending on data sovereignty and regulatory requirements.
4Engagements & Project Agreements
Each service engagement begins with a signed statement of work or project scope document. This document will detail the deliverables, timeline, fees, and any specific client obligations. These Terms and Conditions apply in full alongside any such document.
Clients are responsible for providing accurate information during the onboarding process. Changes to project scope requested after commencement may affect timelines and pricing, and will require written agreement from both parties.
5User Responsibilities
When using our website or engaging our services, you agree to:
- Provide accurate, complete, and current information in all communications and forms.
- Use our services only for lawful purposes consistent with applicable Malaysian law and regulations.
- Not attempt to gain unauthorised access to our systems, infrastructure, or proprietary tools.
- Not use our services to develop systems intended to cause harm, discriminate unlawfully, or violate the privacy of third parties.
- Not reproduce, redistribute, or resell our deliverables without explicit written consent.
- Maintain the confidentiality of any proprietary methods or documentation shared during an engagement.
Breach of these responsibilities may result in immediate termination of the engagement without refund of fees already paid.
6Intellectual Property
All proprietary frameworks, methodologies, training approaches, and tooling developed by omnifoldaxa remain the intellectual property of omnifoldaxa, unless otherwise specified in the project scope.
Upon full payment of agreed fees, clients receive a non-exclusive, non-transferable licence to use the specific deliverables produced for their engagement. This licence does not extend to omnifoldaxa's underlying tools, base models, or reusable components.
Client-provided data, documentation, and materials remain the property of the client. We will not use client data beyond what is necessary to deliver the agreed services.
Any jointly developed intellectual property will be governed by a separate IP assignment clause in the project scope document.
7Payment Terms
All fees are quoted and payable in Malaysian Ringgit (MYR) unless otherwise agreed in writing. Standard payment terms are:
- 50% deposit upon project commencement.
- 50% balance upon delivery of agreed deliverables.
- For longer engagements, milestone-based payment schedules may be agreed separately.
Payment is due within 14 calendar days of invoice. Overdue payments may incur interest at 1.5% per month on the outstanding balance.
Refunds are considered on a case-by-case basis for work not yet commenced. Fees for completed milestones are non-refundable. If omnifoldaxa is unable to complete an engagement due to circumstances within our control, a proportional refund will be offered.
Accepted payment methods include bank transfer to our designated Malaysian bank account. Details will be provided on invoices.
8Service-Specific Terms
Speech-to-Insight Pipeline (8–12 weeks): Client is responsible for providing access to representative audio samples and any relevant domain vocabulary. Accuracy of outputs depends on audio quality and the availability of sufficient training data.
Computer Vision Prototyping (3–5 weeks): The deliverable is a functional proof-of-concept, not a production-ready system. Further development beyond the prototype is outside the scope of this engagement unless separately agreed.
AI-Powered Search Relevance Tuning (5–8 weeks): Client must provide access to query logs, existing search infrastructure, and any historical relevance judgements. Improvement in search quality is assessed against agreed offline evaluation metrics; online performance may vary based on production conditions.
9Disclaimers
Our services are provided on an "as is" and "as available" basis. While we apply sound engineering practices, we do not make any representations regarding specific performance outcomes, model accuracy levels, or business results arising from the use of our deliverables.
AI systems may produce unexpected outputs under conditions not encountered during development. Clients are responsible for testing and validating deliverables before deploying them in production environments.

10Limitation of Liability
To the extent permitted by Malaysian law, omnifoldaxa's total liability for any claim arising from a service engagement shall not exceed the total fees paid by the client for that specific engagement.
We shall not be liable for indirect, consequential, incidental, or special damages, including but not limited to loss of revenue, loss of data, or business interruption, even where we have been advised of the possibility of such damages.
Nothing in these terms limits our liability for death or personal injury caused by negligence, fraud, or any matter that cannot lawfully be excluded under the Consumer Protection Act 1999 (Malaysia).
11Indemnification
You agree to indemnify and hold omnifoldaxa, its team members, and affiliates harmless from any claims, losses, or damages — including reasonable legal fees — arising from:
- Your breach of these Terms and Conditions.
- Your use of deliverables in ways not intended or agreed upon.
- Any third-party claims arising from data you provided to us.
- Infringement of third-party intellectual property rights through materials you supplied.
12Termination
Either party may terminate an engagement by providing 14 days' written notice. Upon termination:
- Fees for work completed up to the termination date remain payable.
- Partially completed deliverables will be handed over in their current state.
- Confidentiality obligations survive termination indefinitely.
omnifoldaxa reserves the right to terminate immediately if the client breaches these terms, fails to make payment, or engages in conduct that is harmful, unlawful, or incompatible with our values.
13Dispute Resolution
These Terms are governed by the laws of Malaysia. Any dispute arising from these terms or a service engagement shall first be referred to informal negotiation between the parties.
If the dispute is not resolved within 30 days of written notice, either party may refer it to the Asian International Arbitration Centre (AIAC) in Kuala Lumpur for arbitration under AIAC rules. The language of arbitration shall be English.
Nothing in this clause prevents either party from seeking urgent injunctive relief from the courts of Malaysia where warranted.
14General Provisions
- Entire Agreement: These Terms, together with any project scope, constitute the entire agreement between the parties and supersede all prior understandings.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement rights.
- Assignment: You may not assign your rights or obligations under these Terms without our written consent. We may assign our obligations to a successor entity.
- Notices: Formal notices should be sent to [email protected] or to our registered address in writing.
15Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, operational practices, or applicable law. When changes are material, we will update the "Last Updated" date at the top of this page.
Your continued use of our website or services after changes take effect constitutes acceptance of the revised terms. We encourage you to review this page periodically.
